Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern access to and use of the Skill Metrics platform, including our website, dashboards, APIs, and related services (collectively, the "Service"), provided by Skill Metrics ("Skill Metrics", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an institution or organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

2. The Service

Skill Metrics provides placement-readiness intelligence for career services teams, students, and recruiters — including readiness scoring, cohort analytics, and related reporting tools. The specific features available to you depend on your subscription tier and institutional agreement.

We may update, change, or discontinue features of the Service from time to time. We will make reasonable efforts to notify institutional customers of material changes that affect their use of the Service.

3. Accounts and Access

Access to the Service is provisioned through your institution, or directly if you are a recruiter or individual user. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to notify us promptly at support@skillmetrics.org if you become aware of any unauthorized use of your account.

4. Acceptable Use

You agree not to: misrepresent your identity or affiliation; attempt to gain unauthorized access to the Service or other users’ data; scrape, reverse-engineer, or resell the Service without our written consent; upload unlawful, defamatory, or infringing content; or use the Service in a way that disrupts its integrity or performance.

We reserve the right to suspend or terminate access for accounts that violate this section.

5. Institutional and Student Data

Where the Service processes student or cohort data on behalf of an institution, the institution remains the data controller and is responsible for ensuring it has the appropriate rights and consents to share that data with us. We process such data as a service provider under the terms of the applicable institutional agreement and our Privacy Policy.

6. Intellectual Property

The Service, including its underlying software, models, design, and content, is owned by Skill Metrics and protected by intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose.

Feedback you provide about the Service may be used by us to improve our products without obligation to you.

7. Fees and Payment

Institutional pricing is scoped individually and set out in an order form or master services agreement. Fees are billed as agreed in that document. Late payment may result in suspension of access after reasonable notice.

8. Disclaimers

Readiness scores, recommendations, and analytics provided by the Service are decision-support tools, not guarantees of employment outcomes. The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

9. Limitation of Liability

To the maximum extent permitted by law, Skill Metrics will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or goodwill, arising from your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount paid by you (or your institution) for the Service in the twelve months preceding the claim.

10. Termination

We may suspend or terminate access to the Service for breach of these Terms or non-payment, with notice where practicable. You may terminate your use of the Service in accordance with your institutional agreement or by discontinuing use if you are an individual user.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date on this page, and where required, communicated to institutional customers directly. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
